I purchesed some shares through FIRST CHARTERED of Beijing, in two companies, H-Net.net and Ozolutions.

Apparently they are insider deals, bought low and sold to me high. When I recieved the share certificates both were marked as restricted, this was not the way they were sold to me by First Chartered.

Now trying to find anything about both companies is a nightmare.

Can anyone explain my standing regarding these shares.

Difficult to say exactly what restricted shares means in your case. generally, these are shares that have a lower priority in case of reimbursement or if you try to exchange them into bearer shares (anonymous). if you send me a scanned image of the certificate, I could ask in my company to check it.

It could also mean that those shares are linked to constraints set through a specific BUY contract such as PIPE contract (Private Investment in Public Equities). this kind of contract gives you usually a better price but with the constraint to keep them during a certain time.
